10 Governing Law and Jurisdiction

These Terms of Service and any dispute or claim arising out of or in connection with them, their subject matter, or their formation, including non-contractual disputes or claims, shall be governed by and construed in accordance with the laws of the state of Utah, without giving effect to any conflict of law principles that would result in the application of the laws of another jurisdiction. The United Nations Convention on Contracts for the International Sale of Goods is expressly excluded from application to these Terms.

Any legal action, suit, or proceeding arising out of or related to these Terms or your use of the TrustLike website shall be instituted exclusively in the federal or state courts located in Summit County, Utah. You and Like Me Trust Me, LLC each irrevocably consent to the personal jurisdiction and venue of such courts and waive any objection based on improper venue, inconvenient forum, or lack of personal jurisdiction. Notwithstanding the foregoing, Like Me Trust Me, LLC may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or confidential information.

11 General Provisions

• 11.1 Entire Agreement These Terms, together with our Privacy Policy and any other legal notices published by TrustLike on the website, constitute the entire agreement between you and Like Me Trust Me, LLC concerning your use of the website and supersede all prior or contemporaneous communications, understandings, and agreements, whether written or oral, relating to the subject matter hereof.

• 11.4 Assignment You may not assign, delegate, or transfer these Terms or any of your rights or obligations hereunder, by operation of law or otherwise, without the prior written consent of Like Me Trust Me, LLC. Any attempted assignment in violation of this provision shall be null and void. Like Me Trust Me, LLC may freely assign, delegate, or transfer these Terms, in whole or in part, without restriction and without notice to you.
• 11.5 Force Majeure Like Me Trust Me, LLC shall not be liable for any failure or delay in the performance of its obligations under these Terms to the extent such failure or delay is caused by circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, governmental action, epidemic or pandemic, labor disputes, internet or telecommunications failures, or utility outages.
• 11.6 Relationship of the Parties Nothing in these Terms shall be construed as creating a partnership, joint venture, agency relationship, employment relationship, or franchise relationship between you and Like Me Trust Me, LLC. Neither party has the authority to bind the other or to incur any obligation on the others behalf without express prior written consent.
• 11.7 Third-Party Beneficiaries These Terms are for the sole benefit of you and Like Me Trust Me, LLC and are not intended to confer upon any other person or entity any rights, benefits, or remedies of any nature whatsoever. No third party shall have any right to enforce any provision of these Terms, whether under contract, statute, or otherwise.

Notices to you may be sent to any email address you have provided to TrustLike through the website or through any subsequent correspondence. Notice shall be deemed given twenty-four hours after an email is sent, provided no bounce or delivery-failure notification is received.
• 11.9 Headings The section headings and subheadings used in these Terms are included for convenience and ease of reference only and shall not be used to interpret, construe, or limit the scope of any provision of these Terms. In the event of any conflict between a heading and the text of a section, the text shall prevail.
• 11.10 Survival Any provision of these Terms that, by its nature, should survive the termination or expiration of these Terms shall so survive. Without limiting the generality of the foregoing, the provisions concerning Intellectual Property Rights, Disclaimer of Warranties, Limitation of Liability, Indemnification, Governing Law and Jurisdiction, and General Provisions shall survive any termination or expiration of these Terms.
